72 Hour Film Shootout AFFIRMATION OF TEAM LEADER

                                                     (the “Work”) and affirm that the Team has secured and obtained any and all rights, releases, and/or permission necessary to record and produce the Work. I understand that 72 Hour Film Network and Film Lab Inc. will not accept the Work unless this executed affirmation is submitted simultaneously with the Work. I acknowledge and affirm I have read and agree to all the competition rules and legal notice.

I further affirm that the Team shall indemnify and hold harmless 72 Hour Film Network and Film Lab Inc. and its sponsors and related affiliates from any and against any and all claims, losses, expenses, and liabilities of every kind, including reasonable attorney’s fees, arising out of the Team’s failure to secure and obtain any rights, releases, and/or permission necessary to record and produce the Work, and arising out of the recording, editing, production and screening of the Work either in connection with the Shootout or otherwise. I expressly release and promise to indemnify 72 Hour Film Network and Film Lab Inc. and its sponsors and related affiliates from all claims arising out of the use of the Work. I hereby agree to abide by all Rules and Regulations of the Shootout, and I understand that a signed Participants Agreement for each team member, among other submission documents, must be submitted upon completion of the competition for our film to be eligible for consideration in the Shootout. I understand that I must be responsible for obtaining all necessary copyrights, etc., and have all the rights needed for the content shown in my film and that I grant 72 Hour Film Network and Film Lab Inc. an irrevocable, perpetual, worldwide license to use, show, disseminate, and otherwise distribute that content.

72 Hour Film Shootout

PARTICIPANT AGREEMENT AND MATERIALS RELEASE

The undersigned (“you”), on behalf of the film team known as                                               (individually and collectively, “Participant”), hereby submits to 72 Hour Film Network and Film Lab Inc. and its sponsors of THE 72 HOUR FILM SHOOTOUT (collectively, “Sponsor(s)” and/or “Producer(s)”), a short film or video (“Film”) for consideration for use in the 72 Hour Film Shootout (“Competition”).

The participant hereby agrees to take part in the Competition being produced by 72 Hour Film Network and Film Lab Inc. and scheduled to commence at around 8:00 p.m. (EST) on or about the first Thursday of June and ends at around 8:00 p.m. (EST) the first Sunday of June.

The participant has read and hereby agrees to abide by the Official Rules of the Competition, the terms of which can be found at www.72hourfilmnetwork.com and incorporated herein. It is understood that Sponsors reserve the right to screen or exhibit only those films/videos which adhere to the Official Rules of the Competition.

The participant hereby understands that he/she is responsible for all crew, cast, equipment, sets, location, and other items necessary for participating in the Competition, and all costs, expenses, damages and claims related thereto. The Producers are providing as part of the Competition:

  1. the event and guidelines in which Participant is taking
  2. a possible screening opportunity at the Asian American International Film Festival for all finalist films, Crossings TV, and elsewhere; and
  3. possible monetary, mentoring and other tangible prizes for the
Participants will also have the opportunity to submit a longer 24-minute submission based on their 5 minute Shootout submission for televised broadcast.
In consideration for the above, Participant grants to Producers the non-exclusive, irrevocable right and license to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, sell, rent, and distribute and synchronize in timed relation to visual elements, the Film and any related materials submitted by Participant (such as personal information and/or elements, including but not limited to name(s), trademarks, trade names, likenesses, photographs, biographical materials and all other graphic and/or textual
material) (together with the Film, the “Materials”), and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised, throughout the world, in perpetuity to advertise, promote, and publicize 72 Hour Film Network and Film Lab Inc., Shootout sponsors, the Competition, and/or any of Producers’ programming services, wherever carried, in all media throughout the universe and may authorize others to do so. Such advertising, promotion, and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Materials.
Producers may use and authorize others to use Participant’s name, voice, biography, and likeness as well as those of artists or individuals who rendered services in connection with the Film in any media now known or hereafter devised, throughout the world, in perpetuity, for the purposes of advertising, promotion or publicity for the use by Producers of the Film, the Competition, and/or any of Producers’ and their programming services wherever carried.
You hereby warrant and represent that (i) you are a legal resident of the United States or Canada, (ii) you are free to enter into and fully perform all of your obligations hereunder and that you have secured all consents necessary to enter into this Agreement, including signed Participant Agreements from each of the cast and crew of the film team specified above; (iii) the Film is an original work created by Participant and does not and will not violate any law, statute, ordinance, or regulation, (iv) the rights granted herein will not infringe on any rights or interests of any third party; (v) no additional consent from any parties regarding any elements contained in the Materials will be required for Producers to exercise the rights granted to them herein; and (vi) the Materials are not and will not be defamatory, trade libelous, pornographic, or obscene.
Producers, their successors, assignees, and licensees, shall have the right, but not the obligation, to use the Materials and the results and proceeds of the services and materials provided under this Agreement, and your name, voice, likeness, and biography in connection with the Competition and ancillary uses thereof.
You understand that any physical materials submitted will be retained by Producers and will not be returned to you. Participants shall defend, indemnify and hold 72 Hour Film Network and Film Lab Inc. and any other sponsor and their respective affiliated entities, harmless from and against any and all claims, demands, losses, damages, or other payments, including, without limitation, reasonable attorney fees, arising out of any breach or alleged breach of any of your warranties or representations herein.

Participant hereby acknowledges that press and media may be shot during the Competition and hereby agrees to allow camera crews to tape or otherwise document the above-referenced team during any production stage of the project.

Participant hereby acknowledges and agrees that, if selected for showcase by 72 Hour Film Network and Film Lab Inc., Participant (or “Entrant”) irrevocably grant to the 72 Hour Film Network and Film Lab Inc. a non- exclusive, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable and transferable (in whole or part) worldwide license to use, reproduce, transmit, display, exhibit, distribute, index, comment on, create derivative works based upon, perform and otherwise exploit such submission, in whole or in part, in all media formats and channels now known or hereafter devised (including on WDIG sites, on third party web sites, on 72 Hour Film Network and Film Lab Inc.’s broadcast and cable networks and stations, on 72 Hour Film Network and Film Lab Inc.’s broadband and wireless platforms, products and services, on physical media, and in theatrical release) for any and all purposes including entertainment, news, advertising, promotional, marketing, publicity, trade or commercial purposes, all without further notice, with or without attribution, and without the requirement of any permission from or payment to the Participant or to any other person or entity. Without limiting the foregoing, the above grant of rights includes 72 Hour Film Network and Film Lab Inc.’s right (but not obligation) to display any Videos, or portions thereof (including without limitation, news feeds or reviews from the Unfinished Works program in its sole discretion. By submitting an Entry, each Participant agrees that 72 Hour Film Network and Film Lab Inc. shall have no liability in conjunction with the failure to post video, news or other information regarding the Entry. By submitting an Entry, and to the full extent permitted by law, each Entrant grants Sponsor and its designees the right to use his/her Entry, name, biographical information, voice, performance, photograph/video, life story, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and in perpetuity, without compensation or additional consents and without prior notice, approval or inspection, and to execute specific written consent to such use if asked to do so. Each Entrant further expressly acknowledges that 72 Hour Film Network and Film Lab Inc. does not owe him/her a duty of confidence (or fiduciary duty or the like) with regard to his/her Entry and that 72 Hour Film Network and Film Lab Inc. has wide access to ideas, brand names and tag lines, photos, videos, designs and other literary/artistic materials submitted to it from outside sources or being developed by its own employees and that such ideas/brand names/tag lines/photos/videos/designs/literary/artistic materials may be competitive with, similar to (or even identical to) the Entry submitted by Entrant and that 72 Hour Film Network and Film Lab Inc. shall have no liability to Entrant or any third party in conjunction therewith. By submitting an Entry, each Entrant represents and warrants that: (a) he/she has all rights in and to the Entry and that submitting the Entry and granting the rights granted herein will not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity.

72 Hour Film Network and Film Lab Inc. reserves the right to request written proof of these permissions in a form acceptable to 72 Hour Film Network and Film Lab Inc. from any Entrant at any time.

72 HOUR FILM SHOOTOUT SUBMISSIONS CHECKLIST

Please review the checklist before you submit your film to ensure that it meets all the required elements for competition.

Your Film:

  1. A PRIVATE (links MUST NOT BE MADE PUBLICLY AVAILABLE or the entry WILL BE

DISQUALIFIED) Vimeo or WeTransfer link to the completed Shootout film of 5 minutes or under in length no later than 8pm EST 72 hours after the theme announcement. We reserve the right to request additional hard copies if necessary. If requested, two (2) copies of the finished product on USB Flash drive in Quicktime format or two (2) copies of finished product on data DVDs (+R/-R) in Quicktime Format or one (1) USB Flashdrive and one (1) data DVD (+R/-R).

  1. Your film, including credits, should not exceed five (5) minutes in length.

72 Hour Shootout Filmmaking Competition Agreement and Release to be Screened and/or Broadcast – Non Exclusive License

This agreement is entered into by a n d between (the “Filmmaker”) and the 72 Hour Film Network and Film Lab Inc. (the “Production Company or “Company”). In the event of the Filmmaker’s death or total incapacity, “Filmmaker” means the Filmmaker’s heirs, devisees, beneficiaries, trusts, assignees or other successors-in-interest. “Production Company” includes the licensees, assignees, future owners, or other acquirers or successors-in- interest of the 72 Hour Film Network and Film Lab Inc.

Filmmaker states that their 72 Hour Shootout submission is her/his/their own original work and that she/he has obtained all necessary releases and rights for all content therein. If asked to provide proof of such releases or rights by the Company, she/he agrees to do so immediately.

The Filmmaker hereby grants to the Production Company and to its licensees, assignees, and other successors-in-interest, all rights of every kind and character, in perpetuity, in and to the Filmmaker’s performance, appearance, likeness, name and/or voice (the “Performance”), and agrees to indemnify and hold harmless Production Company and all its affiliates and representatives from any and all injuries arising from filming. In consideration of good and valuable consideration which is hereby acknowledged, the Filmmaker hereby authorizes the Production Company to photograph, videotape, film and record (on film, tape, or any other medium), the Performance; to edit the same at its discretion and to include it with the performances of others and with sound effects, special effects, digital effects and music; to incorporate the same into the Picture, trailers, posters or other materials or programs related to the Picture; to use and to license others to use such records and photographs in any manner or media whatsoever, including without limitation unrestricted use for purposes of publicity, advertising and sales promotion; and to use my name, likeness, voice, biography or other information concerning me in
connection with the Picture and for any other purpose associated with the Picture.
The Filmmaker further acknowledges that the Production Company owns all rights to the Picture. Other than the opportunity to appear in the Performance, which the Filmmaker acknowledges as good and valuable consideration, the Filmmaker understands she or he has no right to any other form of compensation. Filmmaker understands that by submitting her or his Entry to the 72 Hour Film Network and Film Lab Inc’s 72 Hour Shootout, Filmmaker
irrevocably grants to the Company a non- exclusive, perpetual, irrevocable, fully-paid, royalty- free, sub-licensable and transferable (in whole or part) worldwide license to use, reproduce, transmit, display, exhibit, distribute, index, comment on, create derivative works based upon, perform and otherwise exploit such submission, in whole or in part, in all media formats and channels now known or hereafter devised (including on WDIG sites, on third party web sites, on 72 Hour Film Network and Film Lab Inc’s broadcast and cable networks and stations, on 72 Hour Film Network and Film Lab Inc’s broadband and wireless platforms, products and services, on
physical media, and in theatrical release) for any and all purposes including entertainment, news, advertising, promotional, marketing, publicity, trade or commercial purposes, all without further notice, with or without attribution, and without the requirement of any permission from or payment to the Entrant or to any other person or entity. Without limiting the foregoing, the above grant of rights includes the Company’s right (but not obligation) to display any Videos, or portions thereof (including without limitation, news feeds or reviews from the Unfinished Works program in its sole discretion. By submitting an Entry, each Entrant further agrees that 72 Hour Film Network and Film Lab Inc shall have no liability in conjunction with the failure to post video, news or other information regarding the Entry.

By submitting an Entry, each Entrant represents and warrants that: (a) he/she has all rights in and to the Entry and that submitting the Entry and granting the rights granted herein will not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. 72 Hour Film Network and Film Lab Inc reserves the right to request written proof of these permissions in a form acceptable to 72 Hour Film Network and Film Lab Inc from the Filmmaker.
If Filmmaker has any rights, including without limitation “artist’s rights” or “moral rights,” in the Work Product that cannot be assigned, Filmmaker hereby unconditionally and irrevocably grants to the Company an exclusive (even as to Consultant), worldwide, fully paid and royalty- free, irrevocable, perpetual license, with rights to sublicense through multiple tiers of sublicensees, to use, reproduce, distribute, create derivative works of, publicly perform and publicly display the Work Product in any medium or format, whether now known or later developed. If Filmmaker has any rights in the Work Product that cannot be assigned or licensed, Filmmaker unconditionally and irrevocably waives the enforcement of such rights, and all claims and causes of action of any kind against the Company or Company’s partners and customers. This Agreement constitutes the entire agreement by and between the Filmmaker and the Production Company and supersedes all prior contracts, understandings, negotiations, and agreements with respect to the Production Company and the subject matter hereof, whether oral or written.
